Acceptance of Terms

By accessing or using the Orellius website (orellius.ai), any Orellius products, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you and Orellius. Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes.

You represent that you are at least 18 years of age, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into these Terms.

02

Description of Services

Orellius provides developer-focused AI infrastructure and tools. The Services include, but are not limited to:

  • --Orellius Website β€” information about Orellius products, blog content, documentation, and related resources.
  • --AI Library β€” a curated collection of community-contributed prompts, agentic skills, and guides available for free and open use.
  • --Terminalus β€” an AI coding orchestrator desktop application, currently in closed beta, which will be offered as a paid subscription service upon general availability.
  • --Open-Source Tools β€” including Laminae (AI safety SDK) and MCPDome (MCP security proxy), distributed under the MIT License on GitHub.

Orellius reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant changes.

03

User Accounts

Certain features of the Services may require you to create an account. When account functionality becomes available, the following terms will apply:

  • --You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • --You must provide accurate, current, and complete information during registration and keep your account information updated.
  • --You must notify Orellius immediately of any unauthorized use of your account or any other breach of security.
  • --Orellius reserves the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or unauthorized purposes.

Subscription terms, billing, and payment details for Terminalus and any future paid services will be provided separately at the time of purchase and will form part of these Terms by reference.

04

AI Library Content

The AI Library hosts community-contributed prompts, agentic skills, and guides ("Library Content"). By accessing or using Library Content, you acknowledge and agree to the following:

  • --No Warranty on Outputs β€” Library Content is provided "as is" for informational and educational purposes. Orellius makes no guarantees regarding the accuracy, reliability, completeness, or fitness for any particular purpose of any prompt, skill, guide, or the outputs they produce when used with AI systems.
  • --Community Contributions β€” Library Content may be submitted by third-party contributors. Orellius does not endorse, verify, or assume responsibility for any user-submitted content. By contributing content to the AI Library, you grant Orellius a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your contribution as part of the Services.
  • --Your Responsibility β€” you are solely responsible for evaluating the suitability and safety of any Library Content before use. AI-generated outputs can be inaccurate, biased, or harmful. You should always review and validate any outputs produced using Library Content.
  • --Content Standards β€” contributed content must not contain malicious prompts, prompt injection attacks, content designed to produce harmful or illegal outputs, or material that infringes on third-party intellectual property rights.

Orellius reserves the right to remove any Library Content at its sole discretion, without prior notice, for any reason including but not limited to violations of these Terms or applicable law.

05

Intellectual Property

Orellius Branding β€” the Orellius name, logo, and all associated branding, as well as the Terminalus name and branding, are the intellectual property of Orellius. You may not use these marks without prior written permission, except as reasonably necessary to refer to Orellius or its products.

Website Content β€” original content on the Orellius website, including text, graphics, design elements, and blog posts, is the property of Orellius and is protected by applicable copyright and intellectual property laws.

Open-Source Software β€” Laminae, MCPDome, and other Orellius open-source projects are released under the MIT License. Your use of these projects is governed by the terms of the MIT License as included in each project's repository. Nothing in these Terms restricts or modifies the rights granted to you under those open-source licenses.

Terminalus β€” the Terminalus application, its source code, architecture, and proprietary components are the exclusive property of Orellius. Access to Terminalus is provided under a subscription license and does not convey any ownership rights.

Disclaimer of Warranties

Important -- Please read carefully

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Orellius does not warrant that:

  • --the results obtained from the use of the Services, including AI-generated outputs, prompts, or Library Content, will be accurate, reliable, or suitable for any particular purpose;
  • --any errors or defects in the Services will be corrected;
  • --AI-generated content produced using our tools or Library Content will be free from inaccuracies, biases, or harmful outputs.

You acknowledge that AI systems are inherently probabilistic and that outputs generated using prompts, skills, or tools from the Services should always be reviewed, validated, and used at your own discretion and risk.

08

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Orellius, its founders, contributors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or in connection with your access to or use of the Services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if Orellius has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of Orellius for all claims arising out of or relating to the Services shall not exceed the greater of: (a) the amount you paid to Orellius for use of the Services in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the maximum extent permitted by law.

09

Termination

You may stop using the Services at any time. If you have an account, you may delete it by following the account settings process or by contacting us.

Orellius may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

  • --violation of these Terms or any applicable policies;
  • --conduct that is harmful to other users, Orellius, or third parties;
  • --requests by law enforcement or government agencies;
  • --discontinuation or material modification of the Services.

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, and governing law.

For paid subscriptions, refund and cancellation policies will be specified in the applicable subscription terms at the time of purchase.

10

Changes to Terms

Orellius reserves the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page.

For material changes, we will make reasonable efforts to provide notice through the Services, such as a prominent notice on the website or, where applicable, an email notification to registered users.

Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

11

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.
